30여 년 전 독일 훔볼트재단에 연구지원신청서를 제출할 때 희망연구분야를 비교기업지배구조라고 기재하며 이런 분야도 있을 수 있을까하고 잠시 멈칫했던 기억이 떠오른다. 적어도 그 때까지 나는 아직 그런 용어를 들어본 적이 없었기 때문이다. 다소 허황스럽게 느껴졌던 이 분야에 관한 연구가 요즘은 쏟아져 나오고 있다. 오늘은 그에 관한 최근 동향을 보여주는 신간을 소개한다. Comparative Corporate Governance (Research Handbooks in Comparative Law series) Edited by Afra Afsharipour and Martin Gelter (544 pages, Edward Elgar 2021) 공편자 중 Afsharipour는 UC Davis 로스쿨, Gelter는 Fordham 로스쿨 교수로 있다. 나는 Gelter교수하고만 친분이 있다. 그는 오스트리아출신으로 비에나대학과 Harvard 로스쿨에서 박사학위를 취득한 후 뉴욕에 있는 Fordham대학에서 가르치고 있다. 2016년 가을 NYU를 방문했을 때 요청을 받고 특강을 해준 인연이 있다.
책의 출간일자는 지난 6월로 되어 있지만 개별 논문들은 SSRN을 통해서 이미 오래 전부터 발표되었고 이 블로그에서도 작년에 두 차례 소개한 일이 있다(6.10, 7.4). 서론을 포함한 23편의 논문으로 구성된 이 책은 전통적 주제인 이사회와 주주에 관한 부분이 과반을 차지하고 있지만 총론적인 주제들도 많이 다루고 있다. 비교기업지배의 방법론이나 법경제학은 물론이고 최근 각광을 받고 있는 회사의 목적이나 CSR에 관한 글도 싣고 있어 비교기업지배분야의 연구에 유용한 자료집이라고 판단된다. 논문 저자들은 Hopt교수 같은 원로학자부터 Koh교수부부 같은 소장학자들까지 고루 망라하고 있고 참여자들의 국적도 다양하다. 이 블로그에 기고한 적도 있는 북경대(국제법학원)의 강상엽교수가 집필한 지배주주에 관한 논문도 들어 있어 반가왔다. 책의 목차는 다음과 같다.
